These Marketplace Seller Terms (“Seller Terms”) govern the sale of workout programs and approved coaching-related services through the Orum Training Marketplace operated by Axiom Fitness LLC (“Orum Training,” “we,” “our,” or “us”).

 

By listing, selling, or offering products or services through the Orum Training Marketplace, you agree to these Seller Terms.

1. Eligibility

 

To sell through the Marketplace, you must:

 

• Be at least 18 years old

• Maintain an active Orum Training account

• Comply with all applicable laws

• Comply with Orum Training’s Terms of Service and Community Guidelines

 

Orum Training may approve, deny, suspend, or remove seller access at its discretion.

2. Approved Marketplace Products and Services

 

At launch, sellers may offer:

 

• Workout programs created through Orum Training tools

• Approved coaching-related services

 

Orum Training may expand, restrict, or modify permitted Marketplace offerings at any time.

3. Seller Responsibilities

 

Sellers are solely responsible for:

 

• The content they create and publish

• The accuracy of product descriptions

• The quality and delivery of workout programs or coaching services

• Communications with buyers

• Compliance with applicable laws and regulations

 

Sellers must provide truthful and accurate information about their products, services, qualifications, and expected outcomes.

4. Ownership of Seller Content

 

Sellers retain ownership of original content they create and upload.

 

By publishing content through the Marketplace, sellers grant Orum Training a non-exclusive, worldwide, royalty-free license to host, store, display, distribute, and promote such content solely for operating, marketing, improving, and providing the Platform and Marketplace.

5. Prohibited Marketplace Content

 

Sellers may not offer:

 

• Content they do not own or have permission to distribute

• Copyright-infringing materials

• Fraudulent products or services

• Misleading or unsupported claims

• Illegal products or services

• Content that violates Community Guidelines

• Content that promotes unsafe or dangerous fitness practices

 

Orum Training reserves the right to remove listings that violate these requirements.

6. Fitness and Coaching Disclaimer

 

Sellers are responsible for the fitness information, workout programs, and coaching services they provide.

 

Orum Training does not:

 

• Verify seller qualifications unless explicitly stated

• Guarantee seller performance

• Guarantee fitness results

• Endorse individual sellers

• Provide medical advice through seller services

 

Buyers are responsible for determining whether a program or service is appropriate for their personal circumstances.

7. Marketplace Fees

 

Orum Training may charge commissions, transaction fees, service fees, processing fees, subscription fees, or other fees in connection with Marketplace activity.

 

Applicable fees, commission rates, payout schedules, and other charges will be disclosed within the Platform or otherwise communicated to sellers before they become effective.

 

Orum Training reserves the right to establish, modify, suspend, or discontinue Marketplace fees and pricing structures at any time, subject to applicable law.

 

Continued participation in the Marketplace after fee changes become effective constitutes acceptance of the updated fee structure.

8. Payments and Payouts

 

Marketplace transactions may be processed through third-party payment providers.

 

Sellers are responsible for:

 

• Maintaining accurate payout information

• Providing required account information

• Paying applicable taxes on earnings

• Complying with financial reporting obligations

 

Orum Training may delay, withhold, or restrict payouts where necessary for fraud prevention, dispute resolution, policy enforcement, or legal compliance.

9. Refunds and Buyer Disputes

 

Orum Training may review buyer complaints, disputes, and refund requests.

 

Depending on the circumstances, Orum Training may:

 

• Issue refunds where appropriate

• Remove listings

• Restrict seller access

• Take other enforcement actions

 

Orum Training is not responsible for disputes between buyers and sellers but may assist in resolving issues at its discretion.

10. Seller Conduct

 

Sellers must use the Marketplace honestly, professionally, and in compliance with these Seller Terms, Terms of Service, and Community Guidelines.

 

Sellers may not:

 

• Harass, threaten, or abuse buyers or other users

• Make false, misleading, or unsupported claims about products, services, qualifications, or expected results

• Manipulate reviews, ratings, purchases, or engagement

• Create fraudulent accounts or transactions

• Sell content they do not own or have permission to use

• Provide unsafe, harmful, or misleading fitness guidance

• Circumvent, avoid, or interfere with Marketplace fees, payment systems, transaction processes, or platform features

• Attempt to move Marketplace transactions outside of Orum Training to avoid applicable fees or platform protections

 

Violations may result in:

 

• Removal of listings

• Withholding of payments where permitted

• Suspension of Marketplace access

• Termination of user accounts

11. Coaching Services

 

If Orum Training allows coaching services through the Marketplace, coaches are responsible for the advice, communication, and services they provide.

 

Orum Training provides the technology platform that allows users and coaches to connect but does not act as the coach, trainer, healthcare provider, or advisor.

 

Coaches must:

 

• Provide accurate information about their services

• Avoid making medical claims

• Avoid guaranteeing specific results

• Follow all applicable laws and Platform rules

 

Users should evaluate whether coaching services are appropriate for their needs.

12. Taxes

 

Sellers are solely responsible for determining, reporting, and paying any taxes associated with Marketplace earnings, except where applicable law requires otherwise.

 

Orum Training does not provide tax advice.

13. Termination of Seller Access

 

Orum Training may suspend, restrict, or terminate Marketplace access at any time for:

 

• Violations of these Seller Terms

• Violations of Platform policies

• Fraudulent activity

• Harmful conduct

• Legal compliance requirements

 

Upon termination, listings may be removed from the Marketplace.

14. Limitation of Liability

 

To the fullest extent permitted by law, Orum Training and Axiom Fitness LLC are not responsible for:

 

• Seller earnings

• Buyer disputes

• Coaching outcomes

• Fitness results

• Lost profits

• Business losses

• User conduct

 

The Marketplace is provided on an “as available” basis.

15. Changes to Seller Terms

 

We may modify these Seller Terms from time to time.

 

Updated versions will be posted within the Platform with a revised effective date.

 

Continued participation in the Marketplace after changes become effective constitutes acceptance of the updated Seller Terms.
